QELT™ DAO Governance

Official governance framework for QELT™ - balancing decentralized protocol governance with institutional-grade stability and regulatory alignment for Real World Assets.

Purpose of Governance

The QELT™ DAO exists to govern protocol-level decisions across the QELT™ Layer-1 ecosystem while preserving institutional-grade stability, regulatory alignment, and asset integrity.

Unlike speculative or fully permissive DAOs, QELT™ governance is deliberately scoped. It governs how the network evolves, not how assets, reserves, or legal structures are controlled.

Designed For:

  • Real-World Asset (RWA) tokenisation
  • Institutional liquidity providers
  • Regulated financial counterparties
  • Sovereign and enterprise-grade use cases

Scope of DAO Authority

QELT™ token holders participate in governance over non-custodial, non-sovereign protocol domains only.

1. Protocol Upgrades

  • • Layer-1 performance and scalability upgrades
  • • Validator and consensus parameters
  • • Oracle integration and data-ingestion standards
  • • Network security enhancements

2. Ecosystem Parameters

  • • Network fee structures and gas mechanics
  • • Validator incentives and staking thresholds
  • • Developer framework standards
  • • Cross-chain and interoperability modules

3. Treasury & Incentive Policies

  • • Allocation of protocol-level incentive pools
  • • Developer grants and ecosystem funding
  • • Community growth initiatives
  • • Long-term network sustainability programs

4. Governance of Governance

  • • Proposal submission thresholds
  • • Voting periods and quorum requirements
  • • DAO tooling and governance-module upgrades
  • • Delegation and representation frameworks

Explicit Exclusions

DAO governance does not extend to:

  • • Ownership, custody, or control of real-world assets
  • • SPV management or asset-level decision making
  • • Proof-of-Reserves certification or valuation
  • • Reserve monetisation, collateral policy, or liquidity deployment
  • • Regulated financial activities or compliance decisions

Important Legal Clarification

DAO governance does not constitute ownership, control, or decision-making authority over any real-world assets, reserves, SPVs, or regulated financial activities associated with the QELT™ ecosystem. All such matters remain governed by legal entities, boards, and regulated structures associated with QELT™ and QXMP Labs.

Dual-Layer Governance Architecture

QELT™ operates a dual-layer governance model designed to balance decentralisation with institutional and regulatory requirements.

Layer 1 – On-Chain DAO Governance

  • • Token-holder voting
  • • Transparent, immutable proposals
  • • Smart-contract-enforced outcomes
  • • Community and developer participation

Layer 2 – Institutional & Legal Governance

  • • QELT LLC / QXMP Labs corporate governance
  • • Treasury and risk committees
  • • Compliance, audit, and regulatory oversight
  • • Asset-level and reserve-level decision making

This separation is intentional and fundamental to the QELT™ architecture.

Voting Mechanics

1 QELT™ token=1 governance vote

Voting occurs on-chain via the QELT™ Governance Portal

Snapshot-based voting mechanisms are used to prevent manipulation

Quorum and supermajority thresholds apply to critical proposals

Advanced Governance Features

Vote delegation
Proposal batching
Protocol-level emergency security vetoes (limited to network integrity matters only)

Proposal Lifecycle

1

Community Discussion & Technical Review

Proposals are discussed and reviewed by the community

2

Formal On-Chain Proposal Submission

Proposal is formally submitted to the blockchain

3

Defined Voting Window

Token holders cast their votes during the voting period

4

Smart-Contract Execution / Timelock

Approved proposals are executed or queued for implementation

5

Public Reporting & Audit Trail

All actions are transparently recorded on-chain

Governance Design Principles

QELT™ governance is designed to:

Enable decentralised participation without compromising legal certainty

Protect real-world assets through ring-fenced structures

Maintain regulatory compatibility across jurisdictions

Support long-term network resilience and scalability

Decentralisation within QELT™ is applied where it strengthens the system, not where it introduces legal, financial, or operational risk.

Summary

QELT™ DAO governs protocol evolution, not assets

Token holders shape network rules and technical direction

Real-world assets remain legally protected and independently governed

Governance is transparent, enforceable, and institutionally compatible

This framework enables QELT™ to function as a real-world-asset-native Layer-1 blockchain suitable for institutional, enterprise, and sovereign adoption.
